2. Services Description

BuzzWisely provides an AI-powered voice agent that can answer customer calls, handle inquiries, and schedule appointments for your business. Our Services are designed to automate and enhance customer interactions, provide 24/7 availability, and streamline your operational efficiency.

3. Account Registration and Security

• To access certain features of the Services, you may need to register for an account. You agree to provide accurate, current, and complete information during

• the registration process and to update such information to keep it accurate, current, and complete.

• You are solely responsible for maintaining the confidentiality of your account login information (username and password) and

• for all activities that occur under your account. You agree to notify BuzzWisely immediately of any unauthorized use of your account or any other breach of security. BuzzWisely will not be liable for any loss or damage arising from your failure to comply with this section.

4. Your Responsibilities and Prohibited Uses

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are solely responsible for all content and information that your BuzzWisely AI agent processes, including, but not limited to, call recordings, transcripts, and any data provided by your customers.

You further agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or

• regulation.

• Use the Services

• to impersonate or attempt to impersonate BuzzWisely, a BuzzWisely employee,

• another user, or any other person or entity.

• Use the Services to transmit, or procure the sending of, any advertising or promotional

• material

• without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.

• Engage

• in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm

• BuzzWisely or users of the Services

• or expose them to liability.

• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

• Attempt to gain

• unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.

• Violate the privacy or publicity rights of others, or collect or store personal data about other users without their express consent.

• Use the Services to record calls without proper notice and consent from all parties as required by applicable law.

• You are solely responsible for compliance with all recording laws.

5. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software,

text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by BuzzWisely, its licensors, or other providers of such material and are protected by United States and international

copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the

Services for your internal business

purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally and

legitimately incident to your ordinary use of the Services.

6. Fees, Billing, and Payments

• Subscription Plans:

• Access to the Services may require a paid subscription. You will be billed in advance on a recurring and periodic basis (e.g., monthly or annually), as per the subscription plan you select.

• Automatic Renewal:

• Your subscription will automatically renew at the end of each period unless you cancel it or BuzzWisely cancels it.

• Cancellations:

• You may cancel your subscription renewal through your account settings or by contacting BuzzWisely support. Refunds for fees already paid for the current subscription period will not be issued upon cancellation, but you will retain access to the Services until the end of your current subscription period.

• Billing Information:

• You agree to provide BuzzWisely with accurate and complete billing information, including your full name, address, payment method details, and any other relevant information.

• Fee Changes:

• BuzzWisely reserves the right to change its subscription fees. We will provide you with reasonable prior notice of any such change to give you an opportunity to terminate your subscription before such changes become effective.

7. Call Recordings and Data

• You acknowledge and agree that BuzzWisely may record and transcribe calls handled by your AI agent. These recordings and transcripts are essential for the operation, improvement, and training of our AI technology.

• You are solely responsible for ensuring that you have provided all necessary legal notices and obtained all required consents from your customers regarding call recordings, data collection, and data usage in compliance with all applicable laws and regulations.

• Call recordings, transcripts, and other data collected through your use of the Services belong to you, the Subscriber. You determine how this data is used and how long it is retained within the Services.

8. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express

or implied. BuzzWisely

does not make any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability

of the Services. Without limiting the foregoing, BuzzWisely does not warrant that the Services

will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that our Services or the server that makes them available are free of viruses or other harmful components, or that the Services will otherwise meet

your needs or expectations.

9. Limitation of Liability

To the fullest extent permitted by law, in no event will BuzzWisely, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable

for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Services, any websites linked to it, any content on the Services or such other websites,

including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, whether caused

by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

10. Indemnification

You agree to defend, indemnify, and hold

harmless BuzzWisely, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms

or your use of the Services, including, but not limited to, your User Contributions, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information

obtained from the Services.

11. Governing Law and Jurisdiction

All matters relating to the Services and these Terms, and any dispute or claim arising therefrom or related

thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule. Any legal suit,

action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State
